<br/>The top 70% section of the LED screen is exclusively for use of the apartments to relay important information with the residents. Accelnomics Technologies controls the lower 30% portion to play curated ads targeted towards residents.

<br/>AGREEMENT
<br/>
<br/>This agreement is made at Bangalore between -
<br/>
<br/>M/S Society Name Residents/Owners Welfare Association, Area Bangalore hereafter referred to as Association.
<br/>
<br/>and
<br/>
<br/>Accelnomics Technologies Pvt Ltd, whose office at
<br/>No.1057, 3rd Main, 3rd Cross,D Block, AECS Layout, Kundalahalli, Bangalore KA 560037, core@accelnomics.com +919731860413, hereafter referred to as Supplier
<br/>
<br/>This agreement is for the purpose of defining and agreeing to use and ownership of TYMLY Smart Notice Board installed at Society Name, Area Name, Bangalore by Accelnomics Technologies Pvt Ltd.
<br/>Now therefore, this Agreement, the witnesses and all the parties agree to abide by guidelines/obligations dwelled in successful paragraphs.
<br/>Part 1 - Obligations of the Supplier.
<br/>Supplier shall install x 24 inches Full HD Smart Notice Board powered by TYMLY technology to remotely operate it via an internet connected mobile phone or computer.
<br/>The said notice board will be maintained and serviced by Supplier if found to have any operational issues.
<br/>The supplier provides the notice board for NO cost to Association.
<br/>The top 70% portion of the notice board is under the complete control of Assocation to show/change the content, related to residents and supplier will not interfere nor use this to show any information or advertisements. Supplier shall only use the
bottom 30% part to showcase curated ads targeted towards residents.
<br/>The supplier shall ensure the ads showcased in the lower portion are acceptable to the apartment residents and are not of violent, explicit types causing any issues to residents.
<br/>Part 2 - Obligations of the Association
<br/>Association will suggest and provide space to wall mount/hang the notice board at a place which is appropriately suitable for a notice board for maximum visibility of residents. Association will also provide power source and Internet (wifi/wired/Hotspot
dongle) connection at the location of notice boards.
<br/>It will be the responsibility of the association to ensure there is no physical damage caused to the Smart Notice Board due to external factors like - rains,physical assault, misuse or handling. The smart board will be under surveillance of available
CCTV and security personal. In case of deliberate and intentional damage caused to the smart board, association should help us to identify the perpetrator.
<br/>Any issues observed or features needed should be brought to the notice of Supplier asap, without any efforts to be made to self fix by opening parts of the Smart Notice board.
<br/>The association understands fully that the supplier intends to monetize by sale of the ads showcasing in lower portion of the notice board with curated ads.
<br/>Association acknowledges and confirms that the TYMLY notice board remains the property of Supplier for the lifetime of operation and Association only has the possession in its premises till the notice board is operational and live.
<br/>The Smart Notice Board has auto power off feature enabled from 23:30 to 06:00 hours and hence should be kept on all the time except during power failures.
<br/>Part 3 - Settlement of Dispute and notice of disconnection
<br/>Any dispute arising out of execution of this agreement shall be resolved by mutual discussions including appointment of an arbitrator by involved parties and decision of the arbitrator will be final. Both parties can discontinue the agreement / relationship
by giving 2 months notice. The decision of the arbitrator shall be final and binding on both the parties.
